Applicable Territory definition

Applicable Territory means the United States of America and each other country in which the Company, any of its Subsidiaries or any of their Affiliates is actively engaged in the conduct of one or more lines of business.
Applicable Territory means the geographic areas in which the Employee provided services or had a material presence or influence at any time during his/her last two (2) years of employment.
Applicable Territory means (a) with respect to Alexion, the Territory, and (b) with respect to Eidos, the ROW Territory.

As a senior leader for the Company, you acknowledge that your duties and responsibilities require you to have a material presence and/or influence anywhere that the Company does business.
Applicable Territory means (i) throughout the world, but if such area is determined by judicial action to be too broad, then it shall mean (ii) within the continental United States, but if such area is determined by judicial action to be too broad, then it shall mean (iii) within any state in which the Company is engaged in the Business as of the date of this Agreement or at any time during Executive’s employment under this Agreement, but if such area is determined by judicial action to be too broad, then it shall be (iv) the States of Indiana, Missouri, Nebraska, Ohio, Oklahoma, Texas and Utah. Notwithstanding the foregoing, nothing contained in this Agreement shall be deemed to prohibit Executive from investing in securities of an issuer that are listed for trading on a national securities exchange or traded in the over-the-counter market, provided that Executive’s holdings represent no greater than 2.0% of the total number of shares or principal amount of the securities outstanding.
Applicable Territory means, with respect to each Competitive Activity, each geographic area covered by the insurable risks as to which brokerage services that constitute such Competitive Activity are provided by the Business, in each case, for a particular Customer as of the Principal Closing Date.

If any restriction set forth in this paragraph is found by any court of competent jurisdiction to be unenforceable because it extends for too long a period of time or over too great a range of activities or in too broad a geographic area, it shall be interpreted to extend only over the maximum period of time, range or activities or geographic area as to which it may be enforceable. If you violate the non-competition provisions set forth in this paragraph, you shall continue to be bound by such restrictions until a period of one (1) year has expired without any violation of such provisions.
