Approved Restoration Plan definition

Approved Restoration Plan means a plan which provides for the repair, replacement or rebuilding of all or any material portion of the Project and which is accompanied by a certificate of an Authorized Officer of an Obligor certifying that (a) after taking into consideration the availability of Loss Proceeds and such other proceeds available for the repair, replacement or restoration of such Project, there will be adequate cash flow including, without limitation, any Loss Proceeds, during the period of repair, replacement or restoration to pay all ongoing expenses, including Debt Service, if any, and (b) no Material Adverse Effect would reasonably be expected to result from such repair, replacement or restoration.
Approved Restoration Plan means a plan submitted to and approved by the Independent Engineer which provides for the repair or rebuilding of all or any portion of the Big Spring Project or the Trinidad Project and which is accompanied by a certificate (a) of the Independent Engineer certifying that (i) such plan is reasonable and technically feasible and will restore the Big Spring Project or the Trinidad Project to at least as good condition or state of repair as it was in prior to such Event of Loss, (ii) the Appendix A-1 repair or restoration of the Big Spring Project or the Trinidad Project in accordance with the plan or the operation of the Big Spring Project or the Trinidad Project following such repair will not violate (x) the terms of any other Transaction Document or (y) any of the Big Spring Project's or the Trinidad Project's Governmental Approvals, (iii) after taking into consideration the availability of Loss Proceeds and such other proceeds available for the repair or restoration of the Big Spring Project or the Trinidad Project, there will be adequate cash flow during the period of repair or restoration to pay all ongoing expenses, including Debt Service due on the Securities, and the Big Spring Guarantor's or the Trinidad Obligor's ability to pay such expenses will not be materially adversely affected following such repair and (iv) the repair or restoration in accordance with the plan will not materially adversely affect the construction budget or construction schedule of the Big Spring Project or the Trinidad Project and (b) of an Authorized Officer of the Big Spring Guarantor or Trinidad Obligor, as applicable, certifying that (i) such plan is reasonable and technically feasible and will restore the Big Spring Project or the Trinidad Project to at least a good condition or state of repair as it was in prior to such Event of Loss and (ii) the repair or restoration of the Big Spring Project or the Trinidad Project in accordance with the plan or the operation of the Big Spring Project or the Trinidad Project following such repair will not violate Applicable Law.
Approved Restoration Plan means a plan for Restoration Work that is submitted to and approved by the Independent Engineer, no more than 90 days after the related Loss that provides for the Restoration of the Project and includes a scope of the work to be performed, conditions for the disbursement of any Loss Proceeds and other amounts to be expended in connection with the implementation of such plan, a completion test to be administered or observed by the Independent Engineer upon completion of the Restoration Work and, a date specified for the completion of such Restoration Work (the “Restoration Date Certain”) by which the Independent Engineer shall certify successful completion of such completion test and that is accompanied by (a) a certificate of the Independent Engineer, if any, certifying that in its professional judgment (i) such plan is reasonable and technically feasible and is reasonably expected to restore the Project to (A) at least as good condition or state of repair as it was in prior to such Loss or (B) its original specifications, and (ii) after taking into consideration the Loss Proceeds with respect thereto and any business interruption insurance (together with all other proceeds reasonably expected to be available for the Restoration of the Project) there will be adequate cash flow during the Restoration period to Restore the Project and to pay all ongoing obligations as they become due, and such Restoration will not have a Material Adverse Effect on the Issuer’s ability to perform its obligations under any of the Financing Documents; and (b) a certificate of the Issuer certifying that the Restoration of the Project in accordance with the plan or the operation of the Project following such Restoration will not violate any terms of the Financing Documents, any Required Approval or applicable law.

Examples of Approved Restoration Plan in a sentence

  • After completion of such Approved Restoration Plan, the Collateral Agent shall apply any of such Condemnation Proceeds in excess of the amount needed to effect such Approved Restoration Plan to the prepayment of outstanding Loans and accrued interest thereon in accordance with Section 2.13(d).

  • There shall have occurred an Event of Loss involving a material portion of the assets or operations of the Project and receipt by or on 102 behalf of the Borrower of Loss Proceeds in excess of $5,000,000, and the Borrower shall not deliver an Approved Restoration Plan in respect of such damage or destruction within sixty (60) days after the occurrence thereof.

  • The development herby permitted shall only be used and operated as a facility of the adjacent leisure scheme permitted under SMD/2016/0378 and shall not at any time be sold, let or used as an independent standalone facility.Reason:- In the interests of highway safety and the integrity of the Approved Restoration Plan for the site.

  • The Net Available Amount shall be disbursed in accordance with the applicable Approved Restoration Plan, this Section 5.11 and the Account Agreement.

More Definitions of Approved Restoration Plan

Approved Restoration Plan means a plan submitted to and approved by the Joint Operating Committee which provides for the repair, rebuilding or restoration of all or any material portion of the Leviathan Project and which is accompanied by (a) a certificate of the Technical Consultant or any other consultant as determined by the Sponsor or the Issuer, such consultant to be reasonably acceptable to the Trustee, certifying that (i) such plan is reasonable and technically feasible and will restore the Leviathan Project in all material respects to at least as good condition or state of repair as it was in prior to such Event of Loss or an acceptable operational level and (ii) after taking into consideration the availability of Loss Proceeds and such other proceeds available for the repair or restoration of the Leviathan Project (including such amounts as the Sponsor and the other Partners agree in writing to apply towards the Leviathan Project), there will be adequate cash flow during the period of repair or restoration to pay all ongoing expenses, including Debt Service due on the Notes, and the ability to pay such expenses will not be materially adversely affected following such repair, and (b) an officer’s certificate from an Authorized Officer of the Sponsor certifying that, where relevant, the repair or restoration of the Leviathan Project in accordance with the plan or the operation of the Leviathan Project following such repair will not violate (i) the terms of any other Transaction Document, (ii) Applicable Law or (iii) any of the Leviathan Project’s Governmental Approvals.
Approved Restoration Plan means a plan (including details as to budget, schedule and sources of funds) submitted to and approved in writing by the Agent Bank (in consultation with the Independent Engineer), which approval shall not be unreasonably withheld or delayed, relating to the rebuilding, repairing, restoring or replacing of the Project upon damage to or destruction of, or upon condemnation or appropriation or any similar event with respect to, all or a portion of the Project.
Approved Restoration Plan means a plan for Restoration Work that is submitted to and approved by the Independent Engineer, if any, no more than three months after the related Event of Loss or event giving rise to Performance Liquidated Damages and that provides for the
Approved Restoration Plan means a plan submitted to and approved by the Independent Engineer which provides for the repair or rebuilding of all or any portion of the Project and which is accompanied by a certificate of (A) the Independent Engineer certifying that in its professional judgment (i) such plan is reasonable and technically feasible and is reasonably expected to restore the Project to at least as good condition or state of repair as it was in prior to such Event of Loss or its original specifications, (ii) after taking into consideration the availability of Loss Proceeds and such other proceeds available for the repair or restoration of the Project, there will be adequate cash flow during the period of repair or restoration to pay all ongoing expenses as they become due, including Debt Service due on the Loans, and the Borrower's ability to pay such expenses will not be materially adversely affected following such repair and (iii) if the Project has not yet reached Completion, the repair or restoration in accordance with the plan will not materially adversely affect the construction budget or construction schedule of such Project and (B) the Borrower certifying that the repair or restoration of the Project in accordance with the plan or the operation of the Project following such repair will not violate in any material respect (x) the terms of any other Transaction Document, (y) Applicable Law or (z) any of the Project's Governmental Approvals.

Related to Approved Restoration Plan

  • Restoration Plan means all technical and organisational measures necessary for the restoration of the system back to normal state;

The federal contribution for a qualifying project shall be at least 20 percent of the total cost of the demonstration project.

  • Master Plan means a subcontracting plan that contains all the required elements of an individual contract plan, except goals, and may be incorporated into individual contract plans, provided the master plan has been approved.
