Arrangement with a Director means a contract or transaction between the Corporation and a director (or a person that is not at arm’s length from a director), where such arrangement would result in the Corporation providing a benefit (whether monetary or otherwise) to such director (or person not at arm’s length from such director), but does not include reimbursement to a director for reasonable expenses incurred in the performance of his or her duties as a director;

  • If the Corporation is a charity operating in Ontario, prior to the Corporation entering into any Arrangement with a Director, the board must first determine whether the consent of the Office of the Public Guardian and Trustee (Ministry of the Attorney General (Ontario)) or an order of a court of competent jurisdiction, is required to authorize the Corporation to enter into such arrangement and the board should consult legal counsel in connection with such determination.

  • Sponsor Director means an individual elected to the Board that has been nominated by the Sponsor pursuant to this Agreement.

  • Management Director means a Person selected in accordance with Article IV of this Agreement who shall have the powers and duties to manage the business and affairs of the Company and exercise its powers to the extent set forth in this Agreement, the Certificate and the Act. Each Management Director shall be a “manager” of the Company within the meaning of the Act.

  • Sponsor Affiliate means an entity that joins with the Company and that participates in the investment in, or financing of, the Project and which meets the requirements under the FILOT Act to be entitled to the benefits of this Fee Agreement with respect to its participation in the Project, all as set forth in Section 5.13 hereof.

  • Designated Director means a person designated by the RE to ensure overall compliance with the obligations imposed under chapter IV of the PML Act and the Rules and shall include:

  • Advisory Board Member means a member of an “Advisory Board” as defined in Section 2(a)(1) of the 1940 Act.

  • Non-Management Director means any Person selected in accordance with Article IV of this Agreement who is not a Management Director.

  • Management Board means the management board of the Company.

  • Independent Manager Fee is defined in Section 4.01(a) of the LLC Agreement.

  • Deputy Director means the Deputy Director of the Authority, as the case may be.

  • Athletic director means an individual responsible for administering the overall athletic program of an educational institution or, if an educational institution has separately administered athletic programs for male students and female students, the athletic program for males or the athletic program for females, as appropriate.

  • Independent Manager shall refer to a member of the Board that meets the standards of an “independent director” set forth in NASDAQ Marketplace Rule 4200(a)(15) (on any successor rule) with respect the Company, the Administrator and their respective affiliates. In the event a Special Committee is formed, the term “Independent Manager” shall, as the context requires, refer generically to each Independent Manager.

  • Medical Executive Committee or “MEC” means the Executive Committee of the Medical Staff.

  • Series A Director means any director of the Company that the holders of record of the Series A Preferred Stock are entitled to elect pursuant to the Company’s Certificate of Incorporation.

  • Independent Board Member means a trustee of the Fund who is neither an “interested person” of the Fund as defined in Section 2(a)(19) of the Investment Company Act of 1940, as amended, nor a party to the Proceeding with respect to which indemnification or advances are sought.

  • Qualified Director means a person who, at the time action is to be taken under:

  • Affiliation Agreement means a written agreement between the governing authority of the program and another organization under the terms of which specified services, space or personnel are provided to one organization by the other, but without exchange of moneys.
