  • The DCF analysis should not be regarded as an indication of what price AsiaSat Shares should or could be achieved or indications of profit forecast.

  • Except as specifically otherwise provided for elsewhere in this Agreement, all dividends and other entitlements conferred by, or accrued or accruing with respect to, any of the Company’s AsiaSat Shares shall be passed through or (as appropriate) allocated and attributed to each Class in proportion to the Shareholders’ respective shareholdings in the Company.

  • The Stock Exchange has stated that if, at the close of the Share Offers, less than 25 per cent of the issued AsiaSat Shares are held by the public, or if the Stock Exchange believes that (i) a false market exists or may exist in the trading of the AsiaSat Shares; or (ii) there are insufficient issued AsiaSat Shares in public hands to maintain an orderly market, then it will consider exercising its discretion to suspend dealings in the AsiaSat Shares until a level of sufficient public float is attained.

  • In this connection, it should be noted that upon the close of the Share Offers, there may be insufficient public float for the AsiaSat Shares and therefore trading in the AsiaSat Shares may be suspended until a sufficient level of public float is attained.

  • On the basis of the Share Offer Price of HK$16.00 per AsiaSat Share and 391,135,500 AsiaSat Shares in issue as at the Latest Practicable Date, the entire issued share capital of AsiaSat is valued at approximately HK$6,258 million.

  • In the event the compulsory acquisition thresholds are attained, subject to compliance with the applicable provisions of the Takeovers Code and the Listing Rules, the listing of AsiaSat Shares will be withdrawn from the Stock Exchange and the Offeror intends to cause the Company to apply for de-listing of the ADSs from the NYSE.

  • As stated in “Part I – Letter from Morgan Stanley” of the Offer Documents, following the completion of the Exchange Transaction and discontinuance of the Proposals, the Offeror and the parties acting in concert with it own interests in an aggregate 268,905,000 AsiaSat Shares, representing approximately 68.75 per cent of the voting rights in AsiaSat.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Relevant Shares means ordinary share capital of the Approved Entity that constitutes equity share capital or the equivalent (or depositary or other receipts representing the same) which is listed and admitted to trading on a Regulated Market.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Equity Shares shall have the meaning attributed to such term in the recitals of this Agreement.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Subco Shares means the common shares in the capital of Subco;

  • Consideration Shares has the meaning ascribed thereto in Section 2.2.

  • Unit Shares means the Common Shares comprising part of the Units;

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Newco Shares means common shares in the capital of Newco;

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.
