ASP Services definition

ASP Services means application services that are provided by Partner who allow End Users to remotely access, or otherwise receive the benefits of, the Software used in combination with Partner Products installed on hardware owned or controlled and in any event operated by Partner via a private network or the Internet. ASP Services may include providing administration, installation, redundancy, back-up and technical support services as they apply to the deployment and management of the Software.

ASP Services the hosting and Maintenance and Support of the Software and/or Content by MRI or its hosting providers and which is accessed by Client via the internet. ASP Services shall be included in the definition of Services.

ASP Services means the services provided by Blackboard pursuant to this ASP Schedule. The initial ASP Services are indicated in the table above.

Examples of ASP Services in a sentence

• SAP grants to Partner a non-exclusive and non-transferable license to use the Software and Documentation to provide ASP Services to Customers only as an integrated part of the Partner Solution (“ASP License”).

• If any SAP client software is required to be used with the Software, SAP grants to Partner the right to reproduce, distribute and license such client software to the same extent as the Software under an On Premise License, provided that: (i) Customers will only be permitted to use the client software to access the ASP Services, and (ii) the Customer will not be granted general development rights to the Software.

• ASP Services may include providing administration, installation, redundancy, back-up and technical support services as they apply to the deployment and management of the Software.

• Subject to Partner’s continuing compliance with the terms of the Agreement, Partner may continue to use its perpetual ASP Licenses to provide ASP Services to its Customers that are contracted with Partner as of the termination date of this SAP PartnerEdge Model but may not renew any additional renewal periods after such termination.

• If any SAP client software is required to be used with the Software, SAP grants to Partner the right to reproduce, distribute and license such client software to the same extent as the Software under an On Premise Distribution License, provided that: (i) Customers will only be permitted to use the client software to access the ASP Services, and (ii) the Customer will not be granted general development rights to the Software.

More Definitions of ASP Services

ASP Services means the Software and Documentation described below, and on the Purchase Documents, and on any agreement subsequently signed by the Parties and incorporated by reference into the Purchase Documents, as both may be made available by RNL to Subscriber for use as a service in accordance with the Agreement.

ASP Services means those services, as may be amended from time to time, provided by Blackboard in respect of the hosting of, and access via the Internet to, the Software for the purpose of permitting Customer and its Authorized End Users to use the Software in the manner as more particularly set out herein (for greater certainty, ASP Services are optional and are only provided when indicated in the Order Form).

ASP Services are the services described in Sections 9 and 11 below.

ASP Services means the act of installing, configuring, maintaining and transmitting the IMPAC Product through IMPAC Servers at IMPAC's data center. 1.4. IMPAC Products The term "IMPAC Products" means IMPAC's proprietary computer software programs identified on the cover page and all related materials and documentation received by Customer from IMPAC. 1.5. IMPAC Server The term "IMPAC Server" means the physical machines where the IMPAC Product and Customer data will be hosted and maintained by IMPAC. 1.6. Other Products The term "Other Products" means the hardware products, software products, and services of Third Party Suppliers identified on the cover page and all related materials and documentation received by Customer from IMPAC or such Third Party Supplier. 1.7. Products The term "Products" means collectively the IMPAC Products and Other Products delivered to Customer under this Agreement. 1.8. Third Party Supplier The term "Third Party Supplier" means the supplier(s) identified for the Other Products on the cover page.

ASP Services means the distribution by CME of Product trade matching services from CME's primary and back-up facilities to ASP Customers on a subscription basis using the NSC System.

ASP Services means the provision of software functionality to the Graphics Arts Industry supply chain solely through a web browser where the software and hardware resides at and is managed by the ASP, rather than at the end customer premises, excluding eSales and eSupport;

ASP Services means those services, as may be amended from time to time, provided by the Company in respect of the hosting of, and access via the Internet to, the Software for the purpose of permitting you and your Authorized Users to use the Software in the manner as more particularly set out herein (for greater certainty, ASP Services are optional and are only provided when indicated on the Order Form).
