Assignment Application definition

Assignment Application has the meaning set forth in Section 4(b) above.

Assignment Application means the application on FCC Form 314 that Seller and Buyer shall join in and file with the Commission requesting its consent to the assignment of the FCC Licenses (as hereinafter defined) from Seller to Buyer.

Assignment Application means the application which Seller and Buyer will join in and file with the Commission requesting its written consent to the assignment of the FCC Licenses from Seller to LBI Sub.

Examples of Assignment Application in a sentence

• The transactions contemplated by this Agreement shall not be consummated until after the FCC has given its consent and approval to the Assignment Application.

• The costs of the FCC filing fees in connection with the Assignment Application shall be divided equally between the Parties.

• The Seller and the Buyers shall jointly oppose any requests for reconsideration or judicial review of FCC approval of the Assignment Application and shall jointly request from the FCC extension of the effective period of FCC approval of the Assignment Application if the Closing shall not have occurred prior to the expiration of the original effective period of the FCC Consent.

• Other than with respect to the Assignment Application described in Section 4(b) the Seller does not need to give any notice to, make any filing with, or obtain any Licenses, consent, or approval of any court or government or governmental agency in order for the Parties to enter into this agreement or the Ancillary Agreements or to consummate the transactions contemplated by this Agreement or the Ancillary Agreements (including the assignments and assumptions referred to in Section 1(e) above).

• Other than the Assignment Application described in Section 4(b), the Buyers do not need to give any notice to, make any filing with, or obtain any authorization, consent, or approval of any court or government or governmental agency in order for the Parties to consummate the transactions contemplated by this Agreement or the Ancillary Agreements (including the assignments and assumptions referred to in Section 1(e) above).

More Definitions of Assignment Application

Assignment Application means the application to be filed jointly by Seller and Buyer with the FCC relating to the assignment of the FCC Licenses by Seller to Buyer in the manner contemplated by this Agreement.

Assignment Application means the joint application filed with the FCC relating to the assignment of the FCC Authorization by Centennial Licensee to Purchaser in the manner contemplated by this Agreement.

Assignment Application means an application seeking the consent of the FCC to the assignment of the License to Purchaser.

Assignment Application means the FCC Form 603, or other appropriate applications or documentation, to be completed by the Parties requesting FCC consent to the assignment of the License(s) from Seller to Buyer or its designee.
