Audited Party definition

Audited Party means the Party being audited by the Auditing Party.
Audited Party shall have the meaning set forth in Section 5.3(b).
Audited Party has the meaning set forth in Section 9.6.2.

  • Such audits may be performed once in each Calendar Year; provided, however, that audits may be conducted more frequently (but no more frequently than once in each Calendar Quarter) if the immediately preceding audit found previously uncorrected net inaccuracies in billing in favor of the Audited Party having an aggregate value of at least $1,000,000.
