Authorized Products means Products that you may purchase without having to obtain training or certifications. Authorized Products include, but are not limited to imaging and printing, personal systems and industry standard server products which are not classified as Open or Controlled Products. You may resell Authorized Products to end-user customers only

Authorized Products products manufactured or sold by NMCL or any other of its affiliated or related companies as defined herein.

Authorized Products means the Autodesk software product(s) in object code form and accompanying documentation, and their respective Subscriptions, Updates and Upgrades (if any) which (i) VAR has procured directly from Autodesk or from an Autodesk Distribution Partner in accordance with this VAR Agreement if made available by Autodesk for purchase by VARs, and (ii) which are identified in Exhibit B hereto and correspond with each VAR authorization and Authorization Level as specified in the Authorization Matrix.

Dealer shall not register or use the Protected Materials in connection with any business conducted by the Dealer other than that contemplated by this Agreement and only as necessary in selling the Authorized Products.
Dealer shall have the right to resell only those Authorized Products in its inventory and any additional Authorized Products that may previously have been ordered by Dealer, which NMCL elects to deliver after termination.
Dealer shall not market, advertise, and offer to sell, sell and/or fulfill orders for the Authorized Products through any other channel or via any other electronic or physical location without NMCL’s prior written consent.
