Automatic Transfer Employee definition

Automatic Transfer Employee means an employee who immediately prior to the Closing is a Business Employee and to whom the Transfer Regulations apply in connection with the transactions contemplated by this Agreement.

Automatic Transfer Employee means any employees of the Business who will transfer by operation of the EU Council Directive 2001/23/EC or any regulation, law or code enacted by any EU Member State to implement such directive or which otherwise creates legal obligations on the parties in relation to the transfer of undertakings or any similar Law in any other jurisdiction (a “Transfer Law”).

Automatic Transfer Employee means a Business Employee (other than a Transferred Entity Employee) in any jurisdiction in which the conditions are met for the employment of such employee to transfer to Purchaser or its Affiliates or the Transferred Entities upon the occurrence of Closing by virtue of the Transfer Regulations.

Examples of Automatic Transfer Employee in a sentence

• Buyer and its Affiliates shall not propose any change to any Automatic Transfer Employee’s working conditions or terms and conditions or employment or otherwise take any action (including communication with any Automatic Transfer Employee or Employee Representative) that is intended to cause an Automatic Transfer Employee to resign prior to the Closing.

• Within a reasonable period of time, but no less than thirty (30) days prior to the expected Closing Date or Deferred Closing Date, as applicable, Purchaser or its Affiliates, as applicable, shall offer employment on behalf of a Miraclon Entity to each Business Employee (other than any Automatic Transfer Employee or any Acquired Employee).

• If any Automatic Transfer Employee objects to the transfer of his or her employment to Purchaser or its Affiliate pursuant to the Transfer Regulations or refuses an offer of employment made by Purchaser or its Affiliate in accordance with Section 5.7(j), the Seller or its Affiliate (as applicable) may terminate the Automatic Transfer Employee’s employment on the Closing.

• The Buyer confirms that, so far as it is aware at the date of this agreement, it does not intend to: (a) materially reduce the value of any Automatic Transfer Employee’s existing benefits; or (b) dismiss any Automatic Transfer Employee by reason of redundancy.

More Definitions of Automatic Transfer Employee

Automatic Transfer Employee means any Newco Employee, where local employment Laws, including but not limited to the Transfer Regulations, provide for an automatic transfer of such employee to Newco by operation of Law upon the transfer of a business as a going concern and such business transfer occurs as a result of the transactions contemplated by the Distribution Agreement.

Automatic Transfer Employee means each Employee whose employment or contract of employment transfers or is assigned by operation of Law, or would but for the termination of such contract of employment be so transferred or assigned, to Purchaser or one of its Affiliates, pursuant to the Transfer Regulations on the Closing Date or otherwise in connection with the transactions contemplated by this Agreement.

Automatic Transfer Employee means an Employee, other than a Transferred FH Company Employee, to whom the Transfer Regulations apply.

Automatic Transfer Employee means each individual who, as of the Closing Date, is employed (as defined under any applicable Canadian Labor Laws), or has an outstanding offer of employment to be employed in Canada, by the Sellers whose employment would transfer automatically by operation of law on the Closing Date to the Buyers (or one of their Affiliates as the case may be) under any applicable Canadian Labor Laws.

Automatic Transfer Employee means any person who (i) is employed by Seller Parent or any of its Affiliates (excluding the Business Subsidiaries) as of the date of this Agreement or hired after the date of this Agreement in accordance with this Agreement, and (ii) provides services primarily to or on behalf of the Business in Denmark, Finland, Ireland, Poland and the United Kingdom.

Automatic Transfer Employee means each Business Employee whose employment or contract of employment transfers or is assigned by operation of Law, or would but for the termination of such contract or employment be so transferred or assigned, to Buyer or one of its Affiliates (including as a result of the Acquired Rights or as a result of the Restructuring).

Automatic Transfer Employee shall have the meaning given to such term in Section 9.01(a).
