Available Target definition

Available Target means any target that is not an Unavailable Target.
Available Target means an ACADIA Target that is neither: (i) licensed or otherwise committed by ACADIA or ArQule to a third party in the Field nor (ii) committed to an internal ACADIA or ArQule program in the Field.
Available Target means each Target that is not an Excluded Target as of the time a determination is made in accordance with this Agreement.

Examples of Available Target in a sentence

  • Upon submission by either Party of an Available Target, the Parties agree to perform a feasibility assessment regarding the Available Target(s) to assess the merits of adding such Target to the Discovery Plan.

  • After the Research Committee selects an ACADIA Target, ACADIA and ArQule agree to notify the Research Committee as soon as possible before taking any actions which could remove the status of that ACADIA Target as an Available Target.

  • At Jounce’s request at any time, the Parties shall discuss in good faith whether a Target is an Available Target in accordance with Section 2.1.1(b)(i) or Section 2.1.1(b)(ii), as applicable.

  • This process shall continue until either Biogen Idec designates an Available Target as a Collaboration Target, or the Research Term expires or terminates, whichever is earlier.

  • Following completion of such assessment the parties may by mutual agreement decide to replace any Identified Target with the applicable Available Target, provided that Loxo shall have a one-time right to override Array’s refusal to replace one Identified Target with an Available Target upon written notice to Array.


More Definitions of Available Target

Available Target is defined in Section 4.3.4.
Available Target means each Target that is not an [***] or an [***] as of the time of such determination in accordance with Section 3.3 (Gatekeeping).
Available Target means [**], [**] and [**], for so long as such Targets do not become Lapsed Targets or Selected Targets. For the avoidance of doubt, DOT1L is deemed to be a Selected Target as of the Effective Date.
Available Target means each Target that is not an Excluded Target as of the time of Nomination in accordance with Section 3.6 (Nomination).
Available Target means, at the time of Vertex’s delivery of the applicable Nomination Notice, any Target that is not an Unavailable Target.
Available Target means all biological targets, as described by a UniProt/SwissProt identifier, except those (i) listed on Appendix 3.1.2 (“Unavailable Targets”) or (ii) with respect to which C4T has, as of the date Calico provides the Nomination Notice, (A) licensed or provided an option right to such target to a Third Party pursuant to an executed agreement with C4T, or (B) initiated a bona fide internal program at C4T against such target as evidenced by having synthesized a Non- Calico Protein Degrader for such target and having an active program for such Non-Calico Protein Degrader against such target as evidenced by written records. C4T will inform Calico as to whether a target is an Available Target within [***] of when Calico submits the Nomination Notice. If the proposed target is an Available Target, then the parties shall discuss and within [***] determine whether to include such target in the collaboration based on the relative merits of such target. If there is a disagreement as to whether to add such target to the collaboration, [***] shall have the tie-breaking vote. Any target added to the collaboration under this process shall be deemed a Collaboration Target.
Available Target means, for the purposes of either (a) the exercise by an Existing Third Party Licensee/Sublicensee of any Unnamed Option, or (b) the exercise by MEE of its Ophthalmology Target Option in connection with a specific transgene or biological target, that, at the time that the Existing Third Party Licensee/Sublicensee notifies MEE or Lonza that it wishes to specify such transgene or biological target or MEE notifies TDTx via the JSC that it desires to exercise its Ophthalmology Target Option with respect to such transgene or biological target, such transgene or biological target is available for licensing. Unless TDTx can reasonably demonstrate to the JSC that either: (i) TDTx or its Affiliate or Sublicensee is already in bona fide, good faith term sheet discussions with a Third Party wherein such term sheet either names or describes such biological target or transgene or otherwise includes such biological target or transgene (without naming or describing it) within the scope of the proposed licensed field, subfield or indication(s) included under the term sheet, or for which TDTx or its Affiliate or Sublicensee has a final term sheet with a Third Party, in each case at the time in which the Existing Third Party Licensee/Sublicensee or MEE requests to name or obtain license rights to such biological target or transgene; or (ii) TDTx or its Affiliate or Sublicensee is actively progressing or actively planning to progress such biological target or transgene in research, development or commercial activities or is actively progressing or actively planning to progress financing activities involving such biological target or transgene (whether or not specifically named if otherwise described or included within the relevant field, subfield or indication); or (iii) TDTx or its Affiliate or Sublicensee has already executed a binding definitive commercial license or sublicense agreement or asset purchase agreement (or other similar agreement for the transfer or disposition of rights) with a Third Party with respect to such biological target or transgene which names, describes or otherwise includes such biological target or transgene (without naming or describing it) within the scope of the licensed field, subfield or indication(s) included under such license or sublicense or other agreement.
