Average Short Term Incentive Compensation definition

Average Short Term Incentive Compensation means the higher of:
Average Short Term Incentive Compensation means the higher of: (i) the average of the short term incentive compensation payable to Meyex xxx each of the last two years immediately preceding the Relevant Year (as defined below in this clause (a)) or, if for any reason short term incentive compensation was payable to Meyex xxx only one of those two years, the amount of short term incentive compensation payable to Meyex for that year, and (ii) Meyex'x xxxgeted short term incentive compensation for the year immediately preceding the Relevant Year.
Average Short Term Incentive Compensation means the higher of: (i) the average of the short term incentive compensation payable to the Executive for each of the last two years immediately preceding the year in which the Change of Control occurred (the "Change Year") or, if, for any reason, short term incentive compensation was payable to the Executive for only one of those two years, the amount of short term incentive compensation payable to the Executive for that year, and (ii) the Executive's targeted short term incentive compensation for the Change Year or for the year immediately preceding the Change Year, whichever is higher,

  • Average Incentive Compensation means the average of the annual incentive compensation under Subparagraph 3(a) received by Executive for the three (3) immediately preceding fiscal years or such fewer number of complete fiscal years as Executive may have been employed by the Company. In no event shall “Average Incentive Compensation” include any sign-on bonus, retention bonus or any other special bonus. Notwithstanding the foregoing, if the Executive breaches any of the provisions contained in Paragraphs 4 and 5 of this Agreement, all payments of the Severance Amount shall immediately cease.
