Average Stock Price definition

Average Stock Price means the average of the closing prices of a Share, as reported on NASDAQ (or such other stock exchange as is applicable), for the forty-five (45) trading day period immediately preceding the date for which the Average Stock Price is being determined hereunder.
Average Stock Price means the average of the closing transaction prices of a share of common stock of a company, as reported on the principal national stock exchange on which such common stock is traded, for the 20 business days immediately preceding the date for which the Average Stock Price is being determined.
Average Stock Price means the average of the daily volume weighted averages of the trading prices of Desktop Metal Class A common stock on the NYSE on each of the twenty consecutive trading days ending on (and including) the trading day that is three trading days prior to the date of the Effective Time of the Mergers.

  • In lieu thereof, CenterState shall pay or cause to be paid to each holder of a fractional share of CenterState Common Stock, rounded to the nearest one hundredth of a share, an amount of cash (without interest and rounded to the nearest whole cent) determined by multiplying the fractional share interest in CenterState Common Stock to which such holder would otherwise be entitled by the CenterState Average Stock Price.

  • If the Ending Average Stock Price is below 60% of the Target Price, all of the Performance Share Units awarded by this Agreement shall immediately be forfeited and cancelled without consideration as of the last day of the Performance Period.

More Definitions of Average Stock Price

Average Stock Price in this Bye-Law means the average price per unit of Ordinary Stocks in the 30 Trading Days prior to the Relevant Instalment Date, with the price for each such Trading Day from which the average is to be derived being determined as follows:
Average Stock Price means the average of the Daily Per Share Prices (as defined below) for the thirty (30) consecutive trading days ending on the third trading day prior to the Company Shareholders' Meeting; and
Average Stock Price means the average of the Closing Market Prices (as hereinafter defined) for the ten consecutive trading days ending on the [fifth] trading day prior to the Effective Time. The "Closing Market Prices" for any trading day means the closing sales price of the Purchaser Common Stock as reported in the New York Stock Exchange Composite Tape (as reported by the Wall Street Journal or, if not reported thereby, as reported by another source as mutually agreed by the Purchaser and, with the consent of the Special Committee, the Company) for that day.
Average Stock Price means, as of any date, the average of the Fair Market Value of a share of Common Stock over the thirty (30) consecutive trading days immediately preceding such date.
Average Stock Price means, with respect to any Measurement Period, the average Fair Market Value of a Share over such Measurement Period.
Average Stock Price means the volume weighted average price of Acquiror Common Stock on the Nasdaq National Market for the twenty (20) consecutive trading days ending three (3) trading days prior to the Target Stockholder Meeting as calculated on the VAP screen on the Bloomberg ProfessionalTM Service and shown as VWAP for such period, as adjusted for any stock split, recapitalization, reorganization or other similar corporate transaction.
Average Stock Price means the average closing price at which the stock of the Company trades upon the closing of the stock exchange for twenty (20) consecutive trading days prior to the Post-IPO Option Date (including the Post-IPO Option Date).
