Average Trading Price definition

Average Trading Price means, with respect to any period, the average of the Market Prices on the last trading day of each full or partial calendar quarter included within such period.

Average Trading Price means the average of the per share closing price of the Shares on the Nasdaq during the five consecutive trading days ending on (and including) the trading day that is one trading day prior to such date.

Average Trading Price shall have the meaning set forth in Section 2.1(a).

Examples of Average Trading Price in a sentence

• Solely for purposes of this subsection 7.4.2, the “Fair Market Value” shall mean 10-Day Average Trading Price as of the date on which the notice of exercise is received by the Warrant Agent.

• Subject to Section 8(c), the “Conversion Price” shall be equal to 80% of the Average Trading Price as reported by the principal trading exchange on which the Company’s Common Stock is traded for the twenty (20) trading days preceding the date of the Note.

• Subject to Section 8(c), the “Conversion Price” shall be equal to 50% of the Average Trading Price as reported by the principal trading exchange on which the Company’s Common Stock is traded for the twenty (20) trading days preceding the date of the Note.

• The number of Common Shares to be issued by the Corporation on the Maturity Date, in satisfaction of its obligations under this Section 6.10 shall be equal to the quotient resulting from dividing the Principal Sum to be satisfied by the issuance of Common Shares by 95% of the Twenty Day Weighted Average Trading Price for the period ending on the fifth Trading Day immediately prior to the Maturity Date.

More Definitions of Average Trading Price

Average Trading Price means the volume-weighted average of the per share trading prices of Purchaser Common Stock as reported through Bloomberg (based on all trades in Purchaser Common Stock and not an average of daily averages) for the 30 consecutive full trading days ending on the third Business Day prior to the Closing.

Average Trading Price means the average of the Market Prices on the last trading day of each full or partial calendar quarter covered by an Election Period; provided, however, that with respect to the Election Period beginning on July 29, 2003, “Average Trading Price” shall mean the average of the Market Price on November 7, 2003 and the Market Price on the last trading day of the last full or partial calendar quarter covered by that Election Period.

Average Trading Price means, if the securities are then traded on a national securities exchange, the average of the Closing Prices of the securities on such exchange over the ten (10) Trading Day period ending five (5) trading days prior to the measurement date, and if the securities are actively traded over-the-counter, then the average of the closing bid prices of the securities over the ten (10) Trading Day period ending five (5) Trading Days prior to the measurement date.

Average Trading Price means, as of a specified date, the average of the daily high and low closing prices of AlliedSignal Common Stock as reported on the NYSE Composite Tape on each of the twenty (20) consecutive trading days immediately preceding (and not including) such date.

Average Trading Price means, if the Common Stock of the Company is then Publicly Traded, on any date, the average of the Closing Prices of the Common Stock over the twenty (20) Trading Day period ending prior to such date.

Average Trading Price means the average closing bid price of the Company’s common stock for a period of 20 consecutive trading days prior to the Loan Closing Date.

Average Trading Price means, on any date of determination, the average of the closing prices of the Common Stock over the 90 day period prior to such date.
