Award Holder definition

Award Holder means Option Holder or RSU Holder, as applicable.

Award Holder means the Persons who hold stock options or restricted stock units of the Corporation (each, a “Stock Award”) issued pursuant to the plans set forth on Exhibit C to this Agreement, including the Persons set forth on Exhibit C to this Agreement.

Award Holder means a Person who holds an unexercised and unexpired Award or, where applicable, the Personal Representative of such person.

• Award Holder acknowledges receipt of a complete copy of the Plan.

• The consideration for the rights and benefits conferred on Award Holder by this Award are the services rendered by the Award Holder after and not before the grant of this Award.

• Each U.S. Award Holder or anyone who becomes a U.S. Award Holder, who is granted an Award in the United States, who is a resident of the United States or who is otherwise subject to the Securities Act or the securities laws of any state of the United States will be required to complete an Award Agreement which sets out the applicable United States restrictions.
