Back-Up Servicer definition

Back-Up Servicer means, initially, Xxxxx Fargo Bank, National Association, and at any other time, the Person then acting as “Back-up Servicer” pursuant to and in accordance with the Back-up Servicing Agreement.

Back-Up Servicer means Xxxxx Fargo Bank, National Association and its permitted successors and assigns, as provided in the Indenture.

Back-Up Servicer has the meaning specified in the Servicing Agreement.

• The Seller may remove Xxxxx Fargo as Back-Up Servicer at any time.

• Upon the delivery by the Seller to the Back-Up Servicer of the computer tapes, disks, cassettes and related materials (in a generally acceptable readable format) relating to the administration of the Receivables, the Back-Up Servicer shall have been furnished with all materials and data necessary to permit immediate collection of the Receivables by the Back-Up Servicer without the participation of the Seller, in such collection.

• No amendment or indenture supplement hereto (including pursuant to Section 2.2 hereof) shall be effective if such amendment or supplement shall adversely affect the rights, duties or obligations of the Back-Up Servicer (including in its capacity as successor Servicer) without its prior written consent, notwithstanding anything to the contrary.

• Pending appointment of a successor to the Master Servicer, the Back-Up Servicer or a Servicer, as applicable, hereunder, the Trustee, the Trust Administrator or the Master Servicer, as applicable, unless such party is prohibited by law from so acting, shall act in such capacity as provided herein.

Back-Up Servicer means Systems & Services Technologies, Inc., together with its permitted successors and assigns, in such capacity.

Back-Up Servicer means JPMorgan Chase Bank, in its capacity as Back-up Servicer pursuant to the terms of the Sale and Servicing Agreement or such Person as shall have been appointed Back-up Servicer pursuant to Section 9.2(c) of the Sale and Servicing Agreement.
