The Company shall have obtained commitments from the Banks, pursuant to the Amended Bank Credit Documents, which shall be available to the Company as of the Amendment Effective Date, in an amount equal to at least $110,000,000.
The Company Parties shall have consummated, and the Purchaser shall be satisfied in all respects with the structure, terms and conditions of, the Bank Credit Documents.
