Examples of Bankrupt Member in a sentence
The purchase price will be an amount equal to the fair market value thereof determined by agreementby the Bankrupt Member (or its representative) and the Member; however, if those Persons do not agree on the fair market value on or before the thirtieth day following the exercise of the option, either such Person by notice to the other, may require the determination of fair market value to be made by an independent appraiser specified in that notice.
Subject to Section 12.0l(b), if any Member becomes a Bankrupt Member, the Company will have the option, exercisable by notice from the Member to the Bankrupt Member (or its representative) at any time prior to the 180th day after receipt of notice of the occurrence of the event causing it to become a Bankrupt Member, to buy, and on the exercise of this option the Bankrupt Member or its representative will sell, its Membership Interest.
On any breach of the provisions of clause (b) of the immediately preceding sentence, the Company will have the option to buy, and on exercise of that option the breaching Member will sell, the breaching Member's Membership Interest, all in accordance with Section 11.01 as if the breaching Member were a Bankrupt Member.
The Bankrupt Member and the Company each will pay one-half of the costs of the appraisal.
