Base Rate Term Borrowing definition

Base Rate Term Borrowing means a Borrowing comprised of Base Rate Term Loans.
Base Rate Term Borrowing means a Borrowing comprised of Base Rate Term Loans. "Base Rate Term Loan" shall mean any Term Loan bearing interest at a rate determined by reference to the Base Rate in accordance with the provisions of Article II. "Board" shall mean the Board of Governors of the Federal Reserve System of the United States of America. "Borrowing" shall mean a group of Loans of a single Type made by the Lenders on a single date and as to which a single Interest Period is in effect. "Borrowing Request" shall mean a request by the Borrower in accordance with the terms of Section 2.03 and substantially in the form of Exhibit C or such other form as shall be approved by the Paying Agent. "Business Day" shall mean any day that is not a Saturday, Sunday or other day on which banks in New York City are authorized or required by law to remain closed; provided, however, that when used in connection with a Eurodollar Loan, the term "Business Day" shall also exclude any day on which banks are not open for dealings in dollar deposits in the London interbank market. "Capital Expenditures" shall mean, for any period, the sum of the aggregate of all expenditures (whether paid in cash or other consideration or accrued as a liability) by the Borrower and the Subsidiaries during such period that, in accordance with GAAP, are or should be included in additions to property, plant or equipment or similar items reflected in the consolidated statement of cash flows of the Borrower and the Subsidiaries for such period, except that (notwithstanding GAAP) bonuses relating to Federal coal leases contemplated in the Confidential Information Memorandum and the information previously provided the Initial Lenders prior to the Closing Date

  • At the time any Base Rate Term Borrowing is made, such Borrowing shall be in an aggregate minimum amount of US$5,000,000 and integral multiples of US$1,000,000 in excess of such amount; provided that a Base Rate Term Borrowing that results from a conversion of an outstanding Eurodollar Rate Term Borrowing may be in an aggregate amount that is equal to such outstanding Borrowing.
