If Company does not accept or provide any reasons for rejecting such Firm Order within such ten (10) Business Day period and such Firm Order is fully consistent with the Binding Forecast, the Minimum Order Quantity and a lead time of at least [***] from Company’s receipt of the Firm Order, then such Firm Order shall be deemed accepted by Company.
Subject to the terms and conditions of this Agreement, the first six (6) months (the “Binding Forecast Period”) of each Forecast shall be binding (each such portion of a Forecast, the “Binding Forecast”) on the Supplier and the Recipient and Recipient shall be required to order and purchase, and the Supplier shall be required to sell, the quantities of full bulk batches set forth in the Binding Forecast for the corresponding calendar months.
If the Recipient fails to place a Purchase Order in accordance with this Agreement for sufficient quantities to satisfy the amounts set forth in the most recent Forecasts for the Binding Forecast Period, the Supplier may issue an invoice to the Recipient for the amount of such shortfall in amount of Supplied Products set forth in the Forecast for the Binding Forecast Period.
Outside of the Binding Forecast, Licensee shall have the right to change the amount of individual SKUs within the same Unit order estimates in each month, provided that the aggregate total of such order is consistent with the Minimum Order Quantity and this Section 7.2(b).
Within ten (10) Business Days of receipt of each Firm Order, Company shall: (i) accept such order; or (ii) have the right to reject each such Firm Order received from Licensee which is not in line with the Binding Forecast.
