Bloomberg Information definition

Bloomberg Information has the meaning set forth in Section 5(d)(ii).
Bloomberg Information means, collectively, the information on Bloomberg to prospective investors relating to (A) information relating to the class, size, rating, price, CUSIPs, coupon, yield, spread, benchmark, status and/or legal maturity date of the Offered Notes, the weighted average life, expected final payment date, trade date, settlement date and payment window of one or more classes of Offered Notes, the prepayment speed and clean-up call information of the Offered Notes and the underwriters for one or more classes of the Offered Notes, (B) the eligibility of the Offered Notes to be purchased by ERISA plans, (C) any derivatives expected to be entered into in connection with the Offered Notes, and the weighted average life and payment window of one or more classes of Offered Notes and (D) a column or other entry showing the status of the subscriptions for the Offered Notes (both for the issuance as a whole and for each Underwriter’s retention).
Bloomberg Information means information provided by an Underwriter to Bloomberg, Intex or a similar entity, for use by investors and prospective investors that does not contain information other than identifying information relating to the Trust and the Securities or any class of Securities; the asset type supporting the Securities; expected ratings; the expected pricing date, expected closing date and first payment date for the Securities or any class of Securities; expected principal amount and class amounts; principal payment windows; pricing speeds/prepayment assumptions; duration/modified duration; expected weighted average life, expected final payment date, expected legal final payment date and clean-up call or other redemption features; expected interest rate index; preliminary guidance as to the interest rate and/or yield for any class of Securities (but not final interest rate or yield information); names of lead managers and co-managers; information about the principal amount of the Securities of each class offered by each Underwriter; average lives; ratings and ratings agencies; credit enhancement provider, if any; 100% pot vs. retention status; percent interest only; geographic concentration; public, 144A or Reg S offering; 2a-7 and SMMEA eligibility; other similar or related information such as expected pricing parameters and benchmarks; pricing guidance; status of subscriptions and Underwriters' retentions and ERISA eligibility. References to “expected” in the foregoing includes ranges, windows or references to benchmarks.

Examples of Bloomberg Information in a sentence

  • A = the average of the closing sale prices of the Common Stock for the five (5) trading days immediately prior to (but not including) the Date of Exercise as reported by Bloomberg Information Systems, Inc.

  • A = the average of the closing sale prices of the Common Stock on the Nasdaq National Market for the five (5) trading days immediately prior to (but not including) the Date of Exercise as reported by Bloomberg Information Systems, Inc.

  • The Escrow Agent shall be entitled but not obligated, at his sole discretion, to verify the computation of the number of Escrow Shares to be released through information provided by Bloomberg Information Service or similar stock price quotation service.
