If Employee’s employment with the Company terminates by reason of death or Disability, then the Company shall also pay to Employee (or Employee’s estate or legal representatives, as applicable) on the Pro Rata Bonus Payment Date an amount in cash equal to the Pro Rata Bonus.
In addition, if Executive’s employment should terminate on his death or because of his Disability during the Employment Period (other than as a consequence of Employment-Related Death or Disability), the Company shall pay to Executive (or to his estate in the event of his death) the Pro-Rata Bonus, if any, in one lump sum payment on the Bonus Payment Date for the fiscal year of the Company that includes the Date of Termination.
Each Employee who is an Eligible Employee for any Plan Year beginning on or after August 1, 1999 may make a direct cash payment to the Corporation at least seven days prior to (i) the first Bonus Payment Date during such Plan Year and/or (ii) January 31 of such Plan Year.

For the avoidance of doubt, if Executive is a “Specified Person” and the Bonus Payment Date occurs during the six months after the date of such date of termination, such bonus shall instead be paid on the first business day that is at least six months and one day after the date of termination with interest from the date otherwise payable.
