Borrower Notice definition

Borrower Notice has the meaning specified in Section 6.12(d).

Borrower Notice means a written notice, in the form of Exhibit A, to be used for each borrowing, repayment of each Advance or termination or reduction of the Facility Amount or Prepayments of Advances.

Borrower Notice shall have the meaning assigned to such term in Section 5.11(c).

Examples of Borrower Notice in a sentence

• As of the Effective Date and each Funding Date thereafter (and in the case of clause (ii), as of the date of each Monthly Report), (i) each Transferred Loan referenced on the related Borrower Notice and included in the Borrowing Base is an Eligible Loan on such date and (ii) each Transferred Loan listed as an Eligible Loan in each Monthly Report was an Eligible Loan on such date.

• Such Borrower Notice shall be delivered not later than 11:001:00 ap.m. (New York City time) twoone (21) Business DaysDay prior to the requested Funding Date; provided, however that notwithstanding anything contained herein to the contrary, no more than one Advancetwo Advances may be made in a calendar week.

• Each Borrower Notice shall specify the amount (subject to Section 2.1 hereof) of Advances to be borrowed and the Funding Date (which shall be a Business Day).

• Upon receipt of such Borrower Notice, the Administrative Agent (or, if applicable, each Managing Agent) shall promptly forward such Borrower Notice to the Lenders (or if applicable, each Managing Agent shall promptly forward such Borrower Notice to the Lenders in its Lender Group), and the applicable portion of the Advance will be made by the Lenders in accordance with their Pro-Rata Shares.
