The Shareholders hereby represent and acknowledge (i) that this Agreement, when executed by two witnesses, shall be carried out as specifically as herein set forth and constitute an extrajudicial debt instrument for the purposes of paragraph 3, article 118 of the Brazilian Corporate Law, and of article 585, II, of the Code of Civil Procedure; (ii) and that any affirmative covenant herein provided for shall be specifically enforced pursuant to articles 461, 461-A and 632 et seq.
Should such agreements be executed, they shall not be filed with the Company, pursuant to article 118 of the Brazilian Corporate Law, and the company is bound to void their terms.
The obligations resulting from this Agreement are subject to specific execution, under the terms of Clause 14.12 above and article 118, §3º, of the Brazilian Corporate Law.
The Company and its Controlled Companies commit to file the present Agreement in their respective headquarters in the form and for the purposes foreseen in article 118 of the Brazilian Corporate Law.
For all purposes and effects of article 118 of the Brazilian Corporate Law, this Agreement will be legalized at Xxxxxx’x, Integritas’ and Core’s headquarters which will be obliged to (i) observe it in all its terms and conditions and (ii) refrain from practicing all and any act resulting from disregarding the obligation assumed in this Agreement.
