The Seller shall not use any of the Business Marks, except in connection with the filing of Tax returns or the winding up of the Seller’s business affairs related to the Business.
In view of the foregoing, Seller hereby grants to each of the Licensed Parties, to the extent of the rights owned or controlled by Seller or any of its Affiliates, a non-exclusive, royalty-free right and license to use the Business Marks during the Transition Period in connection with their respective businesses, including for the manufacturing, marketing and distribution of products and services.
