Business Marks definition

Business Marks means the Trademarks owned by or licensed to Seller or its Subsidiaries (other than the Company and its Subsidiaries) that are used by the Company or any of its Subsidiaries in connection with the Business, including the Trademarks set forth on the list delivered pursuant to Section 4.2(a)(iii).
Business Marks shall have the meaning ascribed thereto in Section 4.19(a) hereof.
Business Marks means all registered and unregistered trademarks, service marks, trade names, brand names, logos, trade dress, design rights and other similar designations of source, sponsorship, association or origin, together with all goodwill associated with each of the foregoing.

Examples of Business Marks in a sentence

  • In connection with enabling B▇▇▇▇, at or as soon as practicable after the Closing Date, to use the Business Marks, Seller shall execute and deliver to Buyer all consents related to such change of name as may be requested by B▇▇▇▇, and will otherwise cooperate with Buyer.

  • Seller shall not, and shall cause its Affiliates not to, use such name or any variation or simulation thereof or any of the Business Marks that are material to the TubeBuddy Business.

Business Marks has the meaning set forth in Section 7.8.
Business Marks means all registered and unregistered trademarks, service marks, trade names, logos, Internet domain names, websites, social media accounts or Internet keywords (e.g., Google AdWords), and any applications for registration of any of the foregoing, together with all goodwill associated with each of the foregoing, owned or used by the Company in connection with the Business, including all trademarks that include the terms set forth on Section 1.1(a) of the Seller Disclosure Letter and all trademarks used in conjunction with or related thereto or containing or comprising the foregoing, including any trademarks confusingly similar thereto or dilutive thereof (including any word or expression similar thereto or constituting an abbreviation or extension thereof); provided, however, that “Business Marks” shall not include any Seller Marks.
Business Marks has the meaning set forth in Section 5.16.
Business Marks means all Marks that use or incorporate the words “SCHONBRAUN MCCANN,” and all translations, adaptations, derivations and combinations thereof (including initials and acronyms) for use in connection with the Business.
Business Marks means the name “EPIC”, “EPIC Crude”, “EPIC Midstream”, “EPIC Consolidated Operations”, and other trademarks, service marks and trade names owned or held for use by the Seller, the Target Company Group, or any of their Affiliates incorporating “EPIC”, “EPIC Crude”, “EPIC Midstream”, “EPIC Consolidated Operations” and any word or expression similar to “EPIC”, “EPIC Crude”, “EPIC Midstream”, “EPIC Consolidated Operations” or constituting any abbreviation, derivation or extension of “EPIC”, “EPIC Crude”, “EPIC Midstream”, “EPIC Consolidated Operations” or that is reasonably expected to cause confusion with the “EPIC”, “EPIC Crude”, “EPIC Midstream”, or “EPIC Consolidated Operations” name and mark.
Business Marks means the Trademarks owned by, or exclusively licensed to, the Stockholder or its Subsidiaries (other than T-Mobile and its Subsidiaries) that are used by T-Mobile or any of its Subsidiaries in connection with the Business, including the “Business Marks” as such term is defined in the Acquisition Agreement.
Business Marks means the Marks set forth on Schedule 1.1(b), in each case including the goodwill of the Business appurtenant thereto.
