Manager may instruct Servicer to modify a Business Plan at any time as requested, Servicer shall implement such Business Plans and shall not take any action or provide any services except in strict accordance with the Business Plans.
It is not contemplated that the Servicer will prepare Business Plans or Consolidated Business Plans and Servicer shall have no obligation to prepare or submit Business Plans notwithstanding the provisions of Section 5.2(h) of the Servicing Agreement.
All costs or expenses to be reimbursed pursuant to this Agreement or the Business Plans shall be supported by delivery by Servicer to Manager of documentation (including invoices and other receipts) of such costs and expenses in reasonable detail.
Servicer shall provide such cooperation and services as are reasonably requested by Manager in order to develop Business Plans for the Loans and other related assets, based on Manager’s general goals and objectives in each case, including, without limitation, reporting for the Loans and related assets to be discussed in monthly board meetings which will be held in person or via conference call.
Servicer agrees to prepare and deliver to the Manager, and thereafter periodically update, the Business Plans and Consolidated Business Plans, and otherwise to cooperate with the Manager and take such actions as the Manger may, from time to time, reasonably request in order to prepare, deliver and update the Business Plans and Consolidated Business Plans, pursuant to Section 7.7 of the Amended and Restated Limited Liability Company Operating Agreement and Section 5.2(h) of the Servicing Agreement.
