Notwithstanding anything contained herein to the contrary, nothing in this Section 11.20 shall in any way affect the Buyer’s or its Subsidiaries’ rights and remedies under any binding agreement to which the Buyer or any of its Subsidiaries and a Financing Source is a party, including the Debt Commitment Letter or any definitive documentation governing any Buyer Financing.

Buyer Financing is defined in Section 5.6(g) hereof.

Buyer Financing means (a) any financing of the type committed by parties to the Debt Commitment Letter or to be incurred in lieu of such committed debt financing in connection with the transactions contemplated hereby, including the Debt Financing and the “Term Facility”, “Equity Financing” and “Senior Notes” referred to in the Debt Commitment Letter, (b) the Qualified Common Shares Offering and (c) and any other registered public offering under the Securities Act of debt, equity or equity-linked securities of the Buyer or any of its Subsidiaries or any private placement of such securities pursuant to Rule 144A or Regulation S under the Securities Act or any other exemption from registration under the Securities Act (including in exchange for any outstanding debt of the Company or the other members of the Company Group); provided that Buyer Financing does not include any issuance of the Agreed Shares pursuant to this Agreement.

Buyer Financing means one or more loans or extensions of credit made in order to finance in part the payment of the Purchase Price, including any under any Buyer Loan Commitment. “Buyer Financing Source” means, the agents, arrangers, lenders and other persons that have committed to provide or arrange or otherwise entered into agreements in connection with all or any part of the Buyer Financing or any other financing in connection with the transactions contemplated hereby, including the parties to any joinder agreements, underwriting agreements,

Buyer Financing has the meaning set forth in Section. 5(h) below. "Claim" has the meaning set forth .in Section 8(f) below.

Buyer Financing means debt and equity financing to raise an amount sufficient to enable Buyer to pay the Purchase Price and arrange for a level of revolving credit facilities reasonably required for the normal operations of the Acquired Companies (other than debt and equity financing that the board of directors of Buyer reasonably determines in good faith, after consultation in good faith with an investment bank of international standing, is not in the best interests of its shareholders), consisting of (i) one or more public offerings of shares of Buyer common stock not to exceed an aggregate offering amount of $525 million and (ii) bank financing or issuance of secured or unsecured senior debt securities of Buyer, one or more of the Acquired Companies or any of their respective subsidiaries in a public or private offering.

Buyer Financing shall have the meaning given to such term in Section 15.2 hereof.
