Buyer Material definition

Buyer Material means Buyer’s preexisting intellectual property provided by Buyer for the purpose of an Order or SOW.

Examples of Buyer Material in a sentence

  • Subject to the procedures set forth and to clause 7.3, Buyer shall, at its expense, defend, indemnify, and hold harmless Supplier and its officers and directors, personnel, agents, affiliates, successors and assigns from and against any losses, damages, claims, costs and expenses (including reasonable legal expenses) suffered or incurred by the Supplier arising out of or in connection with any third party claim alleging that any Buyer Material infringes any Intellectual Property Right of any third party.

  • Notwithstanding the above, Buyer shall have no liability under this clause to the extent that any alleged infringement or claim thereof is based upon: (a) use by the Supplier of the Buyer Material in an application or environment for which it was not designed or not contemplated under this Agreement.


More Definitions of Buyer Material

Buyer Material means any goods, materials or supplies to be provided by, or on behalf of, the Buyer to Synergy Metals for the purposes either of being used in the creation of the Goods or for the Services to be applied to them, such Buyer Material (if any) being identified in a Quotation or the Order;
