The Seller Parties own all of the Equity Interests of each Company, free and clear of all Liens, except (i) any Lien arising out of, under or in connection with the Securities Act or any other applicable securities Laws, (ii) any Lien arising out of, under or in connection with this Agreement or any other Transaction Agreement in favor of Buyer or another Buyer Party and (iii) any Lien created by Buyer or its Affiliates.
Sellers shall have the right to have a Representative present for any communication between each Buyer Party or any of its Representatives, on the one hand, and employees or officers of the Company or its Affiliates, on the other hand.
Such Buyer Party is not (and will not be upon consummation of the transactions contemplated hereby) insolvent.
