On happening of each event mentioned in the chart above, the Developer shall give written notice to the Buyer (Payment Notice), quantifying the amount payable by the Buyer.
HFC agrees that Seller shall be entitled to enforce directly against HFC any of the Buyer Payment Obligations.
HFC hereby guarantees that the Buyer Payment Obligations will be paid strictly in accordance with the terms of this Agreement.

The obligations of HFC under this Section 10.1 shall continue to be effective or shall be reinstated, as the case may be, if at any time any payment of any of the Buyer Payment Obligations is rescinded or must otherwise be returned to Buyer or any other entity, upon the insolvency, bankruptcy, arrangement, adjustment, composition, liquidation or reorganization of Buyer or such other entity, or for any other reason, all as though such payment had not been made.
