Buyer Representations means (i) all of the representations and warranties of the Buyer set forth in Article 6 and (ii) the Buyer’s Closing Certificate.

Buyer Representations. Buyer represents that its’ intention is to continue the UDSA low-income housing operation under the existing regulatory restrictions for a new thirty-year period. SELLER REPRESENTATIONS: Seller represents that Seller has no knowledge of any notice of violations of City, County, State, or Federal building, zoning, fire, or health laws, codes, statutes, ordinances, regulations, or rules filed or issued against the Property. If Seller receives notice of violations prior to close of escrow, Seller shall immediately notify Buyer in writing. Buyer is allowed 60 calendar days after receipt of notice to provide written notice to Seller of any items disapproved.

It is understood that Section 5.7 and Section 5.8 shall not qualify as Buyer Representations, but shall rather constitute further terms and conditions of Buyer Representations.

More Definitions of Buyer Representations

Buyer Representations means the representations made by Buyer in Article IV. “Calculation Notice” has the meaning set forth in Section 2.5(c)(iii).
