From the Execution Date until the Closing, the BVI Company shall operate its business in the ordinary course and use its commercially reasonable efforts to preserve its business organization intact, keep available the services of its key employees, and preserve its relationships with customers, suppliers, and others having business dealings with it.
The BVI Company shall afford to the officers, employees, and authorized representatives of the Delaware Company reasonable access to its properties, books, and records to conduct customary due diligence.
