Calculation of Charges. Contractor shall provide an invoice to the City on a monthly basis for goods delivered and/or Services completed in the immediate preceding month, unless a different schedule is set out in Appendix B, “Calculation of Charges.” Compensation shall be made for goods and/or Services identified in the invoice that the City, in his or her sole discretion, concludes has been satisfactorily performed. In no event shall the amount of this Agreement exceed [insert whole dollar amount in numbers and words -- no pennies and no “.00”]. The breakdown of charges associated with this Agreement appears in Appendix B, “Calculation of Charges.” A portion of payment may be withheld until conclusion of the Agreement if agreed to by both Parties as retainage, described in Appendix B. In no event shall City be liable for interest or late charges for any late payments. City will not honor minimum service order charges for any services covered by this Agreement.

Calculation of Charges. Starion will calculate your supply charges for each billing period by multiplying (i) the price of electricity per kWh by (ii) the amount of electricity used during the billing period. Your price does not include, and you are required to pay, Connecticut sales tax and local tax. This Agreement does not include your EDC’s charges.
Calculation of Charges. Dealer will pay finance charges to DFS on the outstanding principal debt which Dealer owes DFS for each item of Collateral financed by DFS at the rate(s) shown on the Statement of Transaction identifying such Collateral, unless Dealer objects thereto as provided in Section 2. The "Daily Charge" is the product of the Daily Rate (as defined below) multiplied by the Average Daily Balance (as defined below). The "Daily Rate" is the quotient of the annual rate shown on the Statement of Transaction divided by 360, or the monthly rate shown on the Statement of Transaction divided by 30. The "Average Daily Balance" is the quotient of (i) the sum of the outstanding principal debt owed DFS on each day of a billing period for each item of Collateral identified on a Statement of Transaction, divided by (ii) the actual number of days in such billing period. Dealer will also pay DFS $100 for each check returned unpaid for insufficient funds (an "NSF check") (such $100 payment repays DFS' estimated administrative costs; it does not waive the default caused by the NSF check). The annual percentage rate of the finance charges relating to any item of Collateral financed by DFS will be calculated from the invoice date of such Collateral, regardless of any period during which any finance charge subsidy shall be paid or payable by any third party. Dealer acknowledges that DFS intends to strictly conform to the applicable usury laws governing this Agreement. Calculation of Charges. (a) Dealers shall pay fees, charges and interest (collectively, “Charges”) with respect to each advance in accordance with this Agreement and pursuant to the terms of the Program Terms Letter. Dealers shall pay Agent its customary Charges for any check or other item which is returned unpaid to Agent. Unless otherwise provided in this Agreement, the following additional provisions shall be applicable to Charges: (i) all Charges shall be paid by Dealers monthly pursuant to the terms of the billing statement in which such Charges appear; (ii) interest on each advance and principal amount of the Obligations related thereto shall be computed each calendar month on the sum of the daily balances thereof during such month divided by thirty (30) and (A) in the case where a monthly rate of interest is provided for, multiplied by the monthly rate provided for in this Agreement; or (B) in the case where an annual rate of interest is provided for, multiplied by one-twelfth of the annual rate provided for in this Agreement; or (C) in the case where a daily rate of interest is provided for, multiplied by such daily rate and multiplied by thirty (30); (iii) interest on an advance shall begin to accrue on the “Start Date” which shall be defined as the earlier of: (A) the invoice date referred to in the Vendor’s Invoice; or (B) the date any one or more Lenders make such advance; provided, however, if a Vendor fails to fully pay, by honoring or paying any Lender Credit or otherwise, the interest or other cost of financing such inventory during the period between the Start Date and the end of the Free Floor Period, then Dealers shall pay such interest to Agent on behalf of Lenders on demand as if there were no Free Floor Period with respect to such inventory; (iv) for the purpose of computing Charges, any payment will be credited pursuant to Agent’s payment recognition policy, as in effect from time to time; and (v) advances or any part thereof not paid when due (and Charges not paid when due, at the option of Agent, shall become part of the principal amount of the Obligations and) shall bear interest at the Default Rate. (b) Agent and Lenders intend to strictly conform to the usury laws governing this Agreement. Calculation of Charges. 5.1 Where the Charges are based on the volume of water you consume we will take at least one actual meter reading per year, as required by the Applicable Laws. 5.2 If we do not obtain an actual meter reading during a billing period we are entitled at our discretion to estimate the volume of water consumed during that period and use an estimated meter reading as the basis of calculating our Charges. 5.3 If we are unable to take a meter reading (for example due to a fault with the meter, missed meter read or where we are unable to access the Eligible Premises), we will use an estimated meter reading as the basis of calculating our Charges. 5.4 Where estimated meter readings are used to calculate our Charges, an adjustment will be made to your account when the next actual meter read is used to calculate the Charges. You agree to pay the amount requested by the due date stated in Clause 6 below, and we will reconcile this payment when the next actual meter read is used to calculate the Charges. In circumstances where the Charges are believed to be grossly inaccurate (which for the purpose of this clause means +/- 25% based on historic consumption assessed over the same period), Wave will, at our discretion (acting reasonably), recalculate the invoice where new relevant information is provided by you (such as, a meter read). 5.5 Measured charges will apply to all Eligible Premises unless the relevant Wholesaler has determined that it is impracticable to fit a meter or the Eligible Premises do not receive a water supply from any water Wholesaler, in which case they will be charged the appropriate unmeasured charge in accordance with the relevant Wholesaler’s policies in relation to metering and unmeasured charges. Generally unmeasured charges are based on either the Eligible Premises rateable value or an assessed consumption. 5.6 We may send you requests for payment in advance or interim invoices based on estimated consumption where it is appropriate to do so. Any payments made on this basis shall be reconciled with the actual Charges due at the time that the next invoice is issued. 5.7 Where we provide trade effluent services to you, you agree to provide us with the trade effluent billing data in a timely manner in order to enable the issuing of your invoice. Where appropriate trade effluent billing data is not available to us, we reserve the right to use estimated data to calculate the Charges, in accordance with the provisions of clause 5.4 above.
