Canadian Exchangeable Shares means the Common Exchangeable Shares, the Class A Exchangeable Shares, the Class B Exchangeable Shares and the Class C Exchangeable Shares of the Canadian Company;

Canadian Exchangeable Shares means shares of Capital Stock of a Canadian Operating Company issued to a Person in connection with a Permitted Acquisition by such Canadian Operating Company, which Person is not an Obligor or Subsidiary of an Obligor, and which shares of Capital Stock are (i) not entitled to vote generally in the election of directors of such Canadian Operating Company, (ii) are convertible at the option of the holder into shares of common stock of the Parent and (iii) are subordinated (with respect to dividends and preference in liquidation) to the Capital Stock of the Canadian Operating Company which is pledged to the Agent.
