Notwithstanding the termination of this Agreement on the Cancellation Date, until all such obligations (other than any contingent indemnity obligations) shall have been fully paid and satisfied and all financing arrangements between the Company and the Bank hereunder shall have been terminated, all of the rights and remedies under this Agreement shall survive.
Defaulting Party will pay the Cancellation Fee within 15 business days of receipt of notice therefor and it will accrue interest at the Interest Rate from the Early Cancellation Date to, but excluding, the date paid.
