Capital Change definition

Capital Change has the meaning set forth in Section 3.01(d).
Capital Change shall have the meaning set forth in Section 3.6.
Capital Change means any reclassification, merger, consolidation, reorganization, stock split (including a reverse stock split), stock dividend or distribution or other similar transaction.

  • The Exchange Ratio and the Average Pre-Closing Price of Valley Common Stock shall be appropriately adjusted for any stock split, stock dividend, stock combination, reclassification or similar transaction ("Capital Change") effected by Valley with respect to Valley Common Stock between the date hereof and the Effective Time.

More Definitions of Capital Change

Capital Change means a change in the capital structure of the Corporation, as described in Section 10.1 of the Plan.
