The provisions of this ARTICLE VI shall apply to successive Capital Events.
Distributable Cash from Capital Events shall be distributed to the Members in proportion to their relative Capital Account balances after giving effect to Sections 4.4(b), 4.4(c), 4.4(e), 4.5 and 4.6.
Subject to Section 5.4, Income from Operations and Losses from Operations and Income and Gain from Dispositions and Losses from Dispositions shall be allocated to the Members in accordance with their LLC Percentage Interests; provided, however, gains from Interim Capital Events shall be allocated to the Member requesting such Interim Capital Event.
In the event of dissolution, the remaining Projects shall immediately be marketed for Sale by the Company pursuant to Section 9.2. The Net Proceeds from Capital Events related to such Sales shall be distributable to the Members pursuant to Section 7.4(c).
