More Definitions of Case Milestones

Case Milestones has the meaning provided in Section 8.22.

Case Milestones means the following milestones relating to the Chapter 11 Case:

Case Milestones shall have the meaning assigned to the term “Case Milestone” under (and as defined in) the ABL DIP Credit Agreement.

Case Milestones means each of the following deadlines: (a) entry of the Interim Bankruptcy Court Order and the Approved Cash Management Order, each in form and substance satisfactory to the Administrative Agent, by the fifth Business Day following the Petition Date; (b) entry of the Final Bankruptcy Court Order in form and substance satisfactory to the Administrative Agent within thirty-five (35) days after the Petition Date; (c) Borrowers to file a motion to sell all or substantially all of their assets in form and substance satisfactory to the Administrative Agent within 25 days from the Petition Date; (d) entry of an order approving the bidding and sales procedures, in each case, in form and substance reasonably satisfactory to the Administrative Agent, by the earlier of (i) 20 days following the formation of a Committee and (ii) 55 days after the Petition Date; (e) holding an auction for the sale of the Borrowers’ assets by 90 days from the Petition Date; (f) entry of an order approving such sale(s) by 95 days from the Petition Date; and (g) closing of such sales by 110 days from the Petition Date.

Case Milestones means (i) approval by the Bankruptcy Court of a consolidated disclosure statement and Chapter 11 Plan confirmation hearing by not later than M▇▇▇▇ ▇▇, ▇▇▇▇, (▇▇) filing of the Chapter 11 Plan and a disclosure statement acceptable to Lenders by March 28, 2016; (iii) commencement of solicitation of approval of the Chapter 11 Plan by creditors and equity holders of Borrower by no later than March 31, 2016; (iv) entry of an order of the Bankruptcy Court approving the disclosure statement and confirming the Chapter 11 Plan by no later than April 25, 2016; and (v) effective date of the Chapter 11 Plan and substantial consummation by no later than May 4,2016.
