Payment of the fees and expenses of the Ad Hoc First Lien Group, the First Lien Credit Facility Administrative Agent, and the First Lien Indenture Trustee shall be paid pursuant to the Cash Collateral Order and the Existing Plan.
The Amended Plan shall provide for (a) the compromise and settlement of inter-creditor and inter-debtor issues and disputes as set forth in this Term Sheet and (b) the payment of professional fees of the Debtors and the Committee and the establishment of the professional fee escrow by the Debtors, notwithstanding anything contrary in the Cash Collateral Order, for the purpose of paying Allowed professional fee claims incurred through the Effective Date.
