This Excess Cash Flow Certificate is limited in right of payment to certain collections and recoveries respecting the Receivables, all as more specifically set forth in the Agreement.
The Borrower fails to (A) deliver an executed Excess Cash Flow Certificate on the 15th day of each month or (B) make any required Cash Flow Payment.
