Examples of Cash Sweep Amount in a sentence
Upon a Mandatory Cash Sweep Event or Divestment Event (as applicable), the Issuer shall make a partial prepayment at the Prepayment Amount by way of reducing the Nominal Amount of each Bond pro rata with the Mandatory Cash Sweep Amount or Divestment Event Amount (as applicable) (a “Mandatory Partial Prepayment”).
The Issuer shall, on each Interest Payment Date occurring following the fifth anniversary of the First Issue Date (each an "Amortisation Date"), repay an aggregate amount equivalent to the Cash Sweep Amount on the outstanding Bonds issued at the time of repayment, at a price equal to 100 per cent.
The Issuers will not purchase Notes pursuant to the provisions of Section 4.2(a), unless (i) on the Interest Payment Date immediately prior to such purchase, the Issuers did not issue PIK Notes for all or part of such interest payment, (ii) pursuant to Section 4.3, the Issuers paid the Cash Sweep Amount in full to the Holders in such calendar year, and (iii) the aggregate Note purchases in such calendar year do not exceed the Cash Sweep Amount for such year.
However, whilst a Loan Event of Default is outstanding, the Managing Agent will continue to collect the Rental Income but an amount equal to the Cash Sweep Amount will be transferred on a daily basis to the Debt Service Account from the Operating Accounts (see the section entitled “Issuer/Borrower Facility Agreement”).
Any notice that the Issuer or the Agent shall send to the Bondholders pursuant to Clauses12.3 (Voluntary total redemption (call option)), 12.4 (Mandatory early par tial prepayment due to a Mandatory Cash Sweep Amount), 12.5 (Mandatory repur chase due to a Change of Control (put option)), 19(o), 20(a), 21(a) and 22(c) shall also be published by way of press release by the Issuer or the Agent, as applicable.
