Sections 1, 2(a), 2(b) and 2(c) of this Letter Agreement shall be null ab initio in the event that a CFIUS Turndown occurs.
In the event of a CFIUS Turndown, the sale of the Shares by the Company to the Buyer (the “Transaction”) shall not proceed.
