Change in Control Date means the date on which a Change in Control occurs.

Change in Control Date means the date immediately prior to the date of such termination of employment.

The amounts to be paid under this Section 5(f) shall be paid within sixty (60) days after the Change in Control Date of such Change in Control unless otherwise required by Section 409A of the Code.
