Executive will be paid a pro-rata portion of the Target Bonus in effect on the Date of Termination (or, if greater, immediately prior to the Change in Control Protection Period), determined by multiplying the amount of the Target Bonus by a fraction, the numerator of which is the number of days from January 1 of the year during which the Date of Termination occurs to the Date of Termination and the denominator of which is three hundred and sixty-five (365).
Executive will be paid an amount equal to 1.5 times the sum of (i) Executive’s Annual Salary in effect immediately prior to the Date of Termination (or, if greater, immediately prior to the Change in Control Protection Period) plus (ii) Executive’s Target Bonus in effect immediately prior to the Date of Termination (or, if greater, immediately prior to the Change in Control Protection Period), in a lump sum within sixty (60) days following the Date of Termination.
