Change of Control Plan definition

Change of Control Plan means the Company’s change of control and severance plan, including the Amgen Inc. Change of Control Severance Plan, as amended and restated, effective as of December 9, 2010 (and any subsequent amendments thereto), or equivalent plan governing the provision of benefits to eligible employees upon the occurrence of a Change of Control (including resulting from a termination of employment that occurs within a specified time period following a Change of Control), as in effect immediately prior to a Change of Control; and
Change of Control Plan means the Lincoln National Corporation Executives’ Severance Benefit Plan.
Change of Control Plan means the Exar Corporation Executive Officers’ Change of Control Severance Benefit Plan, adopted effective as of June 24, 1999 by the Company for the benefit of certain of its eligible executive employees.

For the avoidance of doubt, to the extent that the amount of any Change of Control Payment actually paid by any Company to an employee is reduced by any applicable withholding or employment taxes, such Company shall be deemed to have paid the gross amount of such Change of Control Payment for purposes of this Section 6.01(d).
