Charging Arrangements definition

Charging Arrangements means a document setting out the charges, Income Offsets and Asset Payments, and/or the methodologies for calculating those, applied by the water or sewerage undertaker in accordance with these rules.
Charging Arrangements means Thames’s document in force at the date of this Agreement setting out the charges, income offsets, asset payments and / or the methodologies for calculating those, applied by Thames in accordance with the Charging Rules.
Charging Arrangements means a document setting out the charges and/or the methodologies for calculating those, applied by the water or sewerage undertaker in accordance with these rules.

  • NAV Charging Arrangements any statement, schedule or publication of tariffs or charges that the Water Company may impose upon the New Appointee in consideration of any of the Water Company’s activities or expenses in relation to this agreement.

  • Charges any sum or charge by the Water Company to the New Appointee comprised within the NAV Charging Arrangements or, in the event of a Material Change, such Charges as are re-negotiated or determined in accordance with clause 13.2 below.

  • Bulk Supply Volumetric Calculation Means the bulk supply volumetric calculation methodology set out in sub-paragraph 1.2(i) and 1.3 of paragraph 1 Volume Charge, Part 1 NAV Bulk Discharge Charges, NAV Charging Arrangements.

  • For the avoidance of doubt the cost of any Local Offsite Mains which are requisitioned by the New Appointee will be charged by the Water Company in accordance with the New Connections Services Charging Arrangements as referred to in the NAV Charging Arrangements.

  • Means the aggregate water supply consumption of connected properties calculation methodology as set out in sub-paragraph 1.2(ii) of paragraph 1 Volume Charge, Part 1 NAV Bulk Supply Charges of the NAV Charging Arrangements.

  • Hedging Arrangement means a hedge, call, swap, collar, floor, cap, option, forward sale or purchase or other contract or similar arrangement (including any obligations to purchase or sell any commodity or security at a future date for a specific price) which is entered into to reduce or eliminate or otherwise protect against the risk of fluctuations in prices or rates, including interest rates, foreign exchange rates, commodity prices and securities prices.

  • Continuing Arrangements means those arrangements set forth on Schedule 1.1(24) and such other commercial arrangements among the Parties that are intended to survive and continue following the Separation Time; provided, however, that for the avoidance of doubt, Continuing Arrangements shall not be Third Party Agreements.

  • Cash Management Arrangements means all cash management arrangements pursuant to which Honeywell or its Subsidiaries automatically or manually sweep cash from, or automatically or manually transfer cash to, accounts of SpinCo or any member of the SpinCo Group.

  • Swap Contracts means (a) any and all rate swap transactions, basis swaps, credit derivative transactions, forward rate transactions, commodity swaps, commodity options, forward commodity contracts, equity or equity index swaps or options, bond or bond price or bond index swaps or options or forward bond or forward bond price or forward bond index transactions, interest rate options, forward foreign exchange transactions, cap transactions, floor transactions, collar transactions, currency swap transactions, cross-currency rate swap transactions, currency options, spot contracts, or any other similar transactions or any combination of any of the foregoing (including any options to enter into any of the foregoing), whether or not any such transaction is governed by or subject to any master agreement, and (b) any and all transactions of any kind, and the related confirmations, which are subject to the terms and conditions of, or governed by, any form of master agreement published by the International Swaps and Derivatives Association, Inc., any International Foreign Exchange Master Agreement, or any other master agreement (any such master agreement, together with any related schedules, a “Master Agreement”), including any such obligations or liabilities under any Master Agreement.

  • Hedging Contracts means all Interest Rate Contracts, foreign exchange contracts, currency swap or option agreements, forward contracts, commodity swap, purchase or option agreements, other commodity price hedging arrangements, and all other similar agreements or arrangements designed to alter the risks of any Person arising from fluctuations in interest rates, currency values or commodity prices.

  • Hedging Costs means the hedging costs between the reference currency of the Unit class and the base currency of the Sub-fund, corresponding to the difference (in percentage terms), on each Valuation Date, between (i) the price of the 3-month maturity exchange rate between the reference currency of the Unit class and the base currency of the Sub-fund, and (ii) the spot rate of the same exchange rate.

  • Hedging Agreement means any interest rate protection agreement, foreign currency exchange agreement, commodity price protection agreement or other interest or currency exchange rate or commodity price hedging arrangement.

  • Hedge Agreements means interest rate swap, cap or collar agreements, interest rate future or option contracts, currency swap agreements, currency future or option contracts and other hedging agreements.

  • Simplified and/or aggregate billing arrangement means a billing arrangement providing additional medical gap benefits.

  • Management Agreements shall have the meaning provided in Section 5.05.

  • Permitted Hedging Agreement of any Person means any Hedging Agreement entered into with one or more financial institutions in the ordinary course of business that is designed to protect such Person against fluctuations in interest rates or currency exchange rates with respect to Indebtedness Incurred and not for purposes of speculation and which, in the case of an interest rate agreement, shall have a notional amount no greater than the principal amount at maturity due with respect to the Indebtedness being hedged thereby.
