Class A definition

Class A has the meaning set forth in Section 5.1.C.
Class A. Class M-1," "Class B" or "Class C" means pertaining to each Class of Class A Certificates, Class M-1 Certificates, Class B Certificates and/or Class C Certificates, as the case may be.
Class A means a passenger ship engaged on domestic voyages other than voyages covered by Classes B, C and D.

  • Solely for purposes of this subsection 7.4.1, “Fair Market Value” shall mean the average reported closing price of the Class A Shares as reported during the ten (10) trading day period ending on the third (3rd) trading day prior to the date that notice of exercise is received by the Warrant Agent from the holder of such Warrants or its securities broker or intermediary.

  • The Company agrees that as soon as practicable, but in no event later than twenty (20) Business Days after the closing of its initial Business Combination, it shall use its commercially reasonable efforts to file with the Commission a post-effective amendment to the Registration Statement, or a new registration statement registering, under the Securities Act, the issuance of the Class A Shares issuable upon exercise of the Warrants.

The provisions of this Section 4.4 shall similarly apply to successive reclassifications, reorganizations, mergers or consolidations, sales or other transfers.

  • For any reason at any time, upon the written request of the holder of the Warrant, the Company shall, within two (2) Business Days, confirm orally and in writing to such holder the number of Class A Shares then outstanding.

  • In any case, the number of outstanding Class A Shares shall be determined after giving effect to the conversion or exercise of equity securities of the Company by the holder and its affiliates since the date as of which such number of outstanding Class A Shares was reported.


More Definitions of Class A

Class A. The rate for Class A bilingual skill is forty dollars ($40) biweekly; fifty cents ($0.50) per hour for eighty (80) hours of paid service - thereafter, the FLSA regular rate for overtime shall apply. To qualify for this rate, the employee must be assigned to a position designated as requiring bilingual skills fifty percent (50%) or more of the time or forty (40) hours or more in an 80-hour biweekly pay period or to a position designated as requiring technical bilingual skills (reading, writing, translation). This fifty percent (50%) usage requirement shall mean the actual time spent conversing or interpreting in a second language.
Class A means Shares that are available to investors in the Global Extended Alpha Fund.
Class A means a passenger ship engaged on domestic voyages in Areas A, B, C and D. ‘Class B’ means a passenger ship engaged on domestic voyages in Areas B, C and D. ‘Class C’ means a passenger ship engaged on domestic voyages in Areas C and D. ‘Class D’ means a passenger ship engaged on domestic voyages in Area D.

Class A. The rate for Class A bilingual skill is $32.30 biweekly, based on $0.38/hour for an eighty-five (85) hour standard work period. Thereafter, the FLSA regular rate for overtime shall apply. To qualify for this rate, the employee must be assigned to a position designated as requiring bilingual skills. For purposes of terminal pay, bilingual premium shall not be computed in the employee's base wage rate.
Class A. 1B3 Certificates: The Certificates. designated as “Class A-1B3” on the face thereof in substantially the form attached hereto as Exhibit A. Class A-1B3-L Regular Interest: The uncertificated undivided beneficial interest in REMIC II which constitutes a REMIC II Regular Interest and is entitled to distributions as set forth herein.
