Class A-1 Unit definition

Class A-1 Unit means a Class A Unit issued to Holders pursuant to the Class A-1 Unit Purchase Agreements. Class A-1 Units have those rights, preferences and obligations specified with respect to the Class A Units in this Agreement, and those additional rights, preferences and obligations expressly conferred on the Class A-1 Units in this Agreement.
Class A-1 Unit has the meaning set forth in Section 3.4(a) and means those Units designated as Class A-1 Units on issuance by the Company and set forth on the Member Schedule.
Class A-1 Unit means any Class A Unit that is not a Class A-2 Unit.

Examples of Class A-1 Unit in a sentence

  • For purposes of this Agreement and determining a Class A-1 Member’s Preferred Return Per Class A-1 Unit only, such date shall be considered a record date established by the CORR Board of Directors and such declaration shall be considered a cash dividend per share of CORR for holders of CORR Series C Preferred Stock.

  • As described in Note 8, ICM converted its loan with RGA into Class A-1 Unit Securities of RGA.

More Definitions of Class A-1 Unit

Class A-1 Unit means a Class A-1 Unit of the Company.
Class A-1 Unit has the meaning set forth in Section 3.1(a). The Company shall have 5.45 authorized Class A-1 Units or such greater number as is determined by the Board. Any or all of the rights and preferences of the Holders of the Class A-1 Units may be waived or amended from time to time, in whole or in part, by the consent of the Holders representing a majority of the then outstanding Class A-1 Units.
Class A-1 Unit means, as to any Partner, the Partner’s interest in the Partnership designated as a Class A-1 Unit on the List of Partners, including any and all benefits to which the holder of such interest in the Partnership may be entitled as provided in this Agreement and under the DRULPA, together with all obligations of the Partner to comply with the terms and provisions of this Agreement, as adjusted from time-to-time as provided in this Agreement.
Class A-1 Unit means a Unit having the rights and obligations specified with respect to a “Class A-1 Unit” in this Agreement. “Class A-2 Adjustment” has the meaning set forth in Section 5.6.
Class A-1 Unit means each Unit issued pursuant to Section 3.9 (a)(i).
Class A-1 Unit means a Partnership Interest in TopCo Parent designated as a Class A-1 Unit.
Class A-1 Unit means a Partnership Unit representing a Limited Partnership Interest issued to SmartStop OP Holdings, LLC pursuant to the Contribution Agreement and having the rights, privileges, limitations, and restrictions described on Exhibit C.
