Class A-1 Unit definition

Class A-1 Unit means a Class A Unit issued to Holders pursuant to the Class A-1 Unit Purchase Agreements. Class A-1 Units have those rights, preferences and obligations specified with respect to the Class A Units in this Agreement, and those additional rights, preferences and obligations expressly conferred on the Class A-1 Units in this Agreement.

Class A-1 Unit has the meaning set forth in Section 3.4(a) and means those Units designated as Class A-1 Units on issuance by the Company and set forth on the Member Schedule.

Class A-1 Unit means any Class A Unit that is not a Class A-2 Unit.

Examples of Class A-1 Unit in a sentence

• Each Class B Unit shall be converted automatically into a Class A-1 Unit on the day immediately following the Trust Record Date for the Distribution Period in which the Class B Unit was issued, without the requirement for any action by either the Trust or the Unitholder holding the Class B Unit.

• There shall be established a Management Committee composed of up to eleven Persons (“Representatives”) who shall be elected by a plurality vote of the Class A Members and Class A-1 Members (voting together as if one class), with each such Member having one vote for each Class A Unit and Class A-1 Unit held by such Member.

• After the Effective Time, (A) additional Class A-1 Units may only be issued to the Managing Member in accordance with the terms and conditions of this Agreement and (B) for each Class A-1 Unit the Company issues to the Managing Member, Pubco shall issue a number of Class A Common Stock based on the Exchange Rate then in effect.

• Each Member shall be liable only to make such Member’s Capital Contribution to Holdings LLC (as specified in the Investment Agreement, Contribution Agreement, Class A-1 Unit Purchase Agreements, in any Incentive Agreement or in any other agreement between Holdings LLC and such Member approved by the Board) and the other payments provided expressly herein.

• Class A-1 Unit issued and outstanding as of immediately prior to the Effective Time (other than any Class A-1 Units held by eCBOT or CBOT) shall be exchanged for and converted into the right to receive a cash distribution in the amount of $[_____].

More Definitions of Class A-1 Unit

Class A-1 Unit has the meaning set forth in Section 3.1(a). The Company shall have 5.45 authorized Class A-1 Units or such greater number as is determined by the Board. Any or all of the rights and preferences of the Holders of the Class A-1 Units may be waived or amended from time to time, in whole or in part, by the consent of the Holders representing a majority of the then outstanding Class A-1 Units.

Class A-1 Unit means a Class A-1 Unit of the Company.

Class A-1 Unit means a Unit having the rights and obligations specified with respect to a “Class A-1 Unit” in this Agreement. “Class A-2 Adjustment” has the meaning set forth in Section 5.6.

Class A-1 Unit means a Partnership Interest in TopCo Parent designated as a Class A-1 Unit.

Class A-1 Unit means, as to any Partner, the Partner’s interest in the Partnership designated as a Class A-1 Unit on the List of Partners, including any and all benefits to which the holder of such interest in the Partnership may be entitled as provided in this Agreement and under the DRULPA, together with all obligations of the Partner to comply with the terms and provisions of this Agreement, as adjusted from time-to-time as provided in this Agreement.

Class A-1 Unit means each Unit issued pursuant to Section 3.9 (a)(i).

Class A-1 Unit means, as to any Partner, the Partner's interest in the Pa1tnership designated as a Class A-1 Unit on the List of Partners, including any and all benefits to which the holder of such interest in the Partnership may be entitled as provided in this Agreement and under the DRULPA, together with all obligations of the Partner to comply with the terms and provisions of this Agreement, as adjusted from time-to-time as provided in this Agreement.
