Class A Preferred Return definition

Class A Preferred Return means, with respect to each Class A Member, an amount calculated like simple interest and accrued each day at a rate equal to nine percent (9.0%) per annum (computed on the basis of a 360-day year of twelve 30-day months), on the average daily balance of the aggregate amount of that Class A Member’s Unreturned Capital Contributions commencing on the Closing Date.
Class A Preferred Return is an amount equal to eight percent (8%) per annum of the total amount of unreturned Capital Contributions (including reinvested Net Income) from the inception date of a Member’s initial Capital Contribution.
Class A Preferred Return of a Class A Member means (subject to Section 7.2(d)) an amount such that, as of the date of any distribution, such Class A Member has received a compounded return of twelve percent (12%) with respect to such Class A Member’s Unreturned Investment since the date of such Class A Member’s Capital Contribution.

Examples of Class A Preferred Return in a sentence

  • The redemption price for such Class A Preferred Units shall be the sum of (i) the Class A Preferred Contributed Amount in respect of such Class A Preferred Units and (ii) the Class A Preferred Return Amount in respect of such redeemed Class A Preferred Units.

  • The Class A Preferred Return Rate is subject to reset as provided herein on each Class A Reset Date.

  • In the event the Company and all of such holders of Class A Limited Membership Interests reach agreement at least forty-five (45) days before such Class A Reset Date, the Class A Preferred Return Rate will be reset on the Class A Reset Date to the amount so agreed and will remain in effect until the next Class A Reset Date.

  • At any time after the third anniversary of the Class A Preferred Measuring Date, the Company shall have the right to redeem the Class A Preferred Units at a redemption price equal to the sum of (i) the Class A Preferred Contributed Amount in respect of such redeemed Class A Preferred Units and (ii) the Class A Preferred Return Amount in respect of such redeemed Class A Preferred Units.


More Definitions of Class A Preferred Return

Class A Preferred Return means, for any Class A Member and as of any date, the amount, if any that would be required to be distributed on such date so that the aggregate distributions to such Member provide a cumulative, non-compounded return equal to eight percent (8%) percent per annum for Class A Members of such Member’s Invested Capital Contribution. The Preferred Return will begin to accrue thirty (30) days after the date of the Initial Closing.

Class A Preferred Return means, with respect to any Legacy Class A Stockholder, as of any date of determination, a cumulative return of five percent (5%) per annum on the amount of the Unrecovered Capital balance of such Legacy Class A Stockholder (as it may be adjusted from time to time) during the period from each date that such Legacy Class A Stockholder or its predecessor in interest (as applicable) made a Capital Contribution accrued through such date, compounded annually.
Class A Preferred Return has the meaning set forth in Section 16.04(a) hereof.

In liquidation preference, Class A Preferred Return is subordinate to the payment of accrued and unpaid Class B Preferred Return.
Class A Preferred Return means, with respect to a Facilities Portfolio, a cumulative preferred return on the Class A Unreturned Capital Contributions that have been contributed by the Partnership to the Facilities Portfolio Subsidiary corresponding to such Facilities Portfolio, or are otherwise allocated to such Facilities Portfolio as determined by the General Partner, and which, as of the date of this Agreement, is calculated at a rate of 6% per annum, compounded quarterly.
