Class B-2 Certificates definition

Class B-2 Certificates. All Certificates bearing the class designation of "Class B-2".

Class B-2 Certificates. The Certificates designated as “Class B-2” on the face thereof in substantially the form attached hereto as Exhibit A.

Class B-2 Certificates. The Certificates designated as “Class B-2” on the face thereof in substantially the form attached hereto as Exhibit A. Class B-2-L Regular Interest: The uncertificated undivided beneficial interest in REMIC I which constitutes a REMIC I Regular Interest and is entitled to distributions as set forth herein.

• It is a condition to the issuance of the Class M, Class B-1 and Class B-2 Certificates that they be rated at least “AA”, “A” and “BBB”, respectively, by S&P and that they be rated at least “Aa3,” “A3” and “Baa2”, respectively, by Moody’s.

• On the Closing Date, the Class B-1 and Class B-2 Certificates will be deemed to have been exchanged, in whole or in part, as applicable, for the Class B Certificates.PRIVATE PLACEMENT MEMORANDUMNo person has been authorized to give any information or to make any representations other than those contained in this Memorandum, and, if given or made, such information or representations must not be relied upon.

• Class B-2 Interest Carry Forward Amount: As of any Distribution Date, the sum of (1) the excess of (A) the aggregate amount of the Class B-2 Current Interest with respect to all prior Distribution Dates over (B) the aggregate amount actually distributed to the Class B-2 Certificates with respect to interest on such prior Distribution Dates and (2) interest on such excess (to the extent permitted by applicable law) at the Class B-2 Pass-Through Rate for the related Accrual Period.

More Definitions of Class B-2 Certificates

Class B-2 Certificates. Any Certificate designated as a "Class B-2 Certificate" on the face thereof, executed by the Trustee and authenticated by the Trustee in substantially the form set forth in Exhibit A, representing the right to distributions as set forth herein.

Class B-2 Certificates. All Certificates bearing the class designation of “Class B-2,” and evidencing (i) a REMIC Regular Interest in REMIC III, (ii) the right to receive the related Basis Risk CarryForward Amount and (iii) the obligation to pay any Class IO Distribution Amount.

Class B-2 Certificates shall have the meaning specified in subsection 1(a) of this Supplement.

Class B-2 Certificates. Any one of the Class B-2 Certificates as designated on the face thereof substantially in the form annexed hereto as Exhibit B-1, executed by the Securities Administrator and authenticated and delivered by the Securities Administrator, representing the right to distributions as set forth herein and therein and evidencing a REMIC Regular Interest in REMIC 2.

Class B-2 Certificates. The Certificates designated as "Class B-2" on the face thereof in substantially the form attached hereto as Exhibit A-22. The Class B-2 Certificates, all of which are related to the Mortgage Loans in both Loan Group I and Loan Group II, shall be entitled to receive distributions related solely to such Mortgage Loans.

Class B-2 Certificates means the Trust's Class B-2 Variable Funding Certificates, Series 1997-1.

Class B-2 Certificates. The Class B-2 Certificates created pursuant to Section 3 hereof.
