Class B Member definition
Class B Member means a Member holding one or more Class B Ordinary Shares.
Class B Member means a Member holding Class B Units.
Class B Member means a holder of a Class B Membership Interest.

In lieu thereof, each Class B Member otherwise entitled to a fractional share shall be entitled to receive a cash amount equal to such fraction multiplied by the volume-weighted average price of XTI Common Stock for the ten (10) trading days ending on (and including) the trading day prior to the Mandatory Exchange Date (or, if applicable, the Deferred Exchange Date).

Class B Member means a holder of Class B Units as relates to the ownership of such Units, executing this Agreement as a Class B Member or hereafter admitted to the Company as a Class B Member as provided in this Agreement, but does not include any Person who has ceased to be a Member.
Class B Member means a Person designated as a Class B member of the Company pursuant to the terms of the operating agreement of the Company.
